The presentation will discuss the ramifications for the staffing industry of the proposed “Noncompetition Agreement Act” currently being considered by the Massachusetts Legislature. The act promises dramatic changes in the law governing the enforcement of non-competition agreements or “noncompetes” in Massachusetts. The acts limits the universe of employees as to whom noncompetes are enforceable, establishes new rules governing the signing and enforceability of noncompetes and imposes harsh penalties on employers who do not comply with the new rules. The presentation will summarize the key provisions of the act and discuss changes that staffing industry employers will have to make if they choose to continue requiring that their employees sign noncompetes as a condition of employment. Specific topics that will be covered include the following:
  • To whom would the proposed new law apply?
  • To what kinds of agreements does the proposed law apply?
  • What are the proposed new rules governing the signing of noncompetes?
  • What are the proposed new rules governing the content and enforceability of noncompetes?
  • What new penalties does the proposed law impose on employers?
  • Should staffing industry employers continue to utilize noncompetes if the Massachusetts Noncompetition Agreement Act becomes law?

John Bauer is Counsel at Robinson & Cole, LLP. John focuses his practice on the litigation and resolution of commercial disputes, including intellectual property disputes. He has extensive experience in litigating and negotiating trade secret disputes and disputes concerning noncompetition, nonsolicitation, and nondisclosure agreements, and regularly counsels clients concerning the drafting and enforcement of these agreements. John also has experience representing companies in connection with trademark and copyright disputes. He has represented parties in civil lawsuits involving a range of commercial matters, including contract and license disputes, unfair trade practices, and other business torts.
Prior to entering law school, John was a college professor for almost ten years, during which time he taught courses and published articles on American politics and political theory. He has written articles on trade secret law, noncompetition agreements, the Computer Fraud and Abuse Act, and related topics. John has been an adjunct member of the faculty at Northeastern University School of Law, where he taught Trade Secret Law.
John received his J.D. from Harvard Law School and his Ph.D. from Duke University.
